Transparency in structure

Corporate & Legal

The NRRA asks its members to put their claims on the record — so the association does the same. This page is the public record of the NRRA's corporate form, status, and compliance obligations.

Status: incorporation in progress. The association currently operates as a founding initiative while its Delaware incorporation is completed. Fields marked pending will be published here as each filing completes. This page is general information, not legal advice.

The entity

Why Delaware

Delaware's General Corporation Law is the most developed body of corporate law in the United States, with a dedicated court of equity and well-settled precedent on nonstock, member-governed corporations. Incorporating there gives the NRRA's members, directors, and the public a predictable legal framework for how the association must be governed — the same reason it is the default home for national associations and standards bodies.

The compliance calendar

A standards body that lectures on accountability must keep its own filings current. The association tracks these obligations on a published calendar:

  • Delaware annual report — filed with the Secretary of State by March 1 each year. As a nonstock corporation the NRRA expects exempt-corporation treatment for franchise tax purposes, with the applicable annual report fee. Confirm treatment with Delaware counsel
  • Registered agent — maintained continuously in Delaware; any change filed promptly with the Secretary of State.
  • IRS annual information return — Form 990 series filed annually once federal recognition is in place.
  • Foreign qualification — registration as a foreign corporation in any state where the association's activities require it. Assessment pending — principal office state first
  • Corporate records — minutes of board and member meetings, written consents, conflict-of-interest disclosures, and the membership register, maintained by the Secretary‑Treasurer.
  • Charitable/professional solicitation & state notices — reviewed annually against the states where the association operates. Counsel review pending

Financial transparency

Membership dues, certification fees, and program revenue fund the association's operations. Once the entity's first fiscal year closes, the association will publish an annual summary of revenue and expenditures alongside its annual report to members. Honors and credentials cannot be purchased; no sponsorship or fee buys standing in certification, judging, or ethics review.

Contact for legal & corporate matters

Service of process should be directed to the registered agent above once published. Corporate, press, and compliance inquiries: [email protected].

This page describes the association's corporate structure for transparency. It is not legal, tax, or investment advice, and it does not create an attorney-client or advisory relationship. The association's counsel reviews this page as filings complete.
